Debunking LLCs

By Christopher Lotito

Who is behind that development project?

In New Jersey and across the United States, it can be challenging to determine the individuals and companies behind a development project, particularly when they use multiple Limited Liability Companies (LLCs) as shell companies. However, there are a few strategies that can help to uncover the true identities of those involved in the project:

Check public records

Many states, including New Jersey, require businesses to file registration documents with the state. By checking the New Jersey Division of Revenue and Enterprise Services or Secretary of State websites, you can search for the registered names of businesses and their registered agents. These records can help identify the individual(s) behind the development project.

Conduct a corporate search

Corporate search websites such as the Delaware Division of Corporations or the New Jersey Business Gateway Services allow you to search for LLCs and other business entities registered in the state. You may be able to find information such as the names of the company's officers and directors, which can help uncover the true identities of those involved in the project.

Look for media coverage

In some cases, media outlets may have reported on the development project or its backers. By searching for articles about the project or individuals connected to it, you may be able to uncover more information.

Investigate local zoning and planning boards

Local zoning and planning boards often require developers to submit plans and applications for review. These documents may include the names of the individuals and companies involved in the project.

It's important to note that while these strategies can help to uncover the true identities of those behind a development project, they may not always be successful, particularly if the shell companies are established in multiple states. In such cases, it may be necessary to seek legal or regulatory intervention to uncover the identities of those involved in the project.
